Please read these Terms and Conditions ("Terms") carefully before using the website located at www.ideeschap.nl (the "Site") or any of the services offered by Shopgang B.V., trading as "Ideeschap" ("Ideeschap," "we," "us," or "our"), including business advisory, executive mentoring, board advisory, C-Level as a Service, and strategy execution support through our network of partner firms (collectively, the "Services").
By accessing the Site or using the Services, you ("you" or "Client") agree to be bound by these Terms. If you do not agree, please do not use the Site or the Services.
1. Company Information

2. Description of Services
Ideeschap provides business advisory, executive mentoring, and board-level guidance to companies and executives, including strategic planning, financial, marketing, infrastructure, and technology advisory support. Ideeschap may also connect Clients, through its Growth Hub network, with independent partner firms and specialists to help execute strategic plans.
No professional advisory, mentoring, or board relationship is formed until a separate written engagement agreement or statement of work has been signed by both parties. General content on the Site is provided for informational purposes only and does not, by itself, create any advisory relationship.
3. Eligibility
The Services are intended for business entities and professionals. By using the Site or the Services, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
4. No Guarantee of Results
Business, executive, and board advisory work involves inherent uncertainty. Ideeschap does not guarantee any specific business outcome, financial result, or growth metric. Any examples, case studies, or testimonials referenced on the Site reflect individual experiences and are not a guarantee of similar results for any other client.
5. Growth Hub Partner Network
Partner firms and specialists referred by Ideeschap to assist with strategy execution are independent contractors and are not employees, agents, or legal representatives of Ideeschap. Ideeschap is not responsible for the acts, omissions, work product, or professional conduct of any referred partner firm or specialist. Any engagement between a Client and a partner firm or specialist is a separate agreement between those parties.
6. Client Obligations
You agree to: (a) provide accurate, complete, and current information; (b) use the Site and Services only for lawful purposes; (c) not misrepresent your identity or business situation; and (d) not use the Site or Services to infringe the rights of any third party.
7. Fees and Payment
Fees for advisory, mentoring, board, or C-Level services will be set out in a separate engagement agreement or invoice. Unless otherwise agreed in writing, fees are non-refundable once services have been rendered. All fees are exclusive of VAT unless stated otherwise.
8. Intellectual Property
All content on the Site, including text, graphics, logos, methodologies, frameworks, and materials developed by Ideeschap, is the property of Shopgang B.V. or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our prior written consent, except as necessary to use the Services for their intended purpose.
9. Confidentiality
Each party may share confidential business information in the course of the Services. Both parties agree to use reasonable care to protect confidential information received from the other and to use it solely for the purposes of the engagement, except as otherwise required by law.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Shopgang B.V., Ideeschap and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Site or Services. Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded or limited under Dutch law. Our total aggregate liability for any claim arising from the Site or Services shall not exceed the fees paid by you to Shopgang B.V. or Ideeschap in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Shopgang B.V. or Ideeschap, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Services, or your violation of any applicable law or third-party right.
12. Third-Party Links
The Site may contain links to third-party websites. Ideeschap does not control and is not responsible for the content, accuracy, or practices of any linked third-party site.
13. Termination
We may suspend or terminate your access to the Site or Services at any time, with or without cause or notice, including for violation of these Terms. Sections that by their nature should survive termination (including Sections 4, 5, 8, 9, 10, 11, and 14) will survive.
14. Governing Law and Dispute Resolution
These Terms shall be governed exclusively by the laws of the Netherlands, without regard to its conflict of laws principles, and the applicability of the Vienna Convention on Contracts for the International Sale of Goods is excluded. Any dispute arising from these Terms or the Services shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands, without prejudice to the right of either party to seek injunctive or equitable relief in any competent court to protect its intellectual property or confidential information.
15. Changes to These Terms
We may revise these Terms at any time. The updated version will be indicated by a revised "Last Updated" date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
